The Service is provided on a subscription basis. Full details of pricing (including any mobilisation fee and SaaS licensing fees based on data volume), billing cycle, minimum term and auto-renewal provisions are set out in your Subscription Agreement or the applicable Order Form or Service Proposal against which a purchase order is raised. Support and Service Levels
We provide support and service levels as detailed in your Subscription Agreement (including 99.9% monthly uptime target and response times).
Termination
We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or for any other reasonable reason. On termination, your right to use the Service ends immediately. Sections that by their nature should survive (liability, intellectual property, data ownership, confidentiality) will continue.
Links to Other Websites
The Service may contain links to third-party websites or services. We are not responsible for their content, privacy practices or any loss or damage arising from them.
Indemnity
You shall indemnify Acutro Ltd, its Affiliates and their respective officers, employees and agents against any and all claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with (i) your breach of these Terms, (ii) your misuse of the Service, or (iii) any claim that your Customer Data infringes third-party rights.
Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability to you under or in connection with these Terms or the Service (whether in contract, tort or otherwise) shall not exceed the total fees you have paid to us in the 12 months immediately preceding the claim (or £1,000 if you have not paid any fees). We are not liable for any loss of profits, data, business interruption or any indirect, consequential or special damages. We are also not responsible for any failure, inaccuracy or loss of data from your building systems, sensors, BMS or third-party hardware. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or any other liability that cannot be excluded by law.
“As Is” and “As Available” Disclaimer
The Service is provided “as is” and “as available” without any warranties (express or implied) except those expressly stated in your Subscription Agreement. We do not warrant that the Service will be uninterrupted, error-free, or that any AI-generated insights or recommendations will be accurate or suitable for your specific building operations. You are solely responsible for any decisions made based on the Service and for the safe operation of your physical buildings and systems.
Governing Law and Dispute Resolution
These Terms and any dispute arising out of or in connection with them shall be governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction. You agree to first attempt to resolve any dispute informally by contacting us or raising a support ticket. EU Users: If you are a consumer resident in the European Union, you may benefit from any mandatory consumer protections under the law of your country of residence.
Order of Precedence
In the event of any conflict between documents, the following order shall apply: (1) any signed Subscription Agreement or Order Form, (2) the Data Processing Addendum (solely in respect of data processing matters), (3) these Terms, (4) the Privacy Notice, AI Security and Responsible Use Policy, Cookie Policy and Sustainability Policy.
Severability, Waiver and Entire Agreement
If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right does not constitute a waiver. These Terms (together with the Privacy Notice, Data Processing Addendum, AI Security and Responsible Use Policy, Cookie Policy, Sustainability Policy and any Subscription Agreement) constitute the entire agreement between you and us.
Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the new version on the Website with a new “Last updated” date and, where reasonably practicable, by email or in-app notice. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
